  3. Cooperate during project execution

4. Contracts & Engagements

All service engagements are governed by:

 

  1. Signed agreements
  2. Statements of Work (SOW)
  3. Project-specific contracts

In case of conflict, signed agreements take precedence over these Terms.

 

5. Fees, Billing & Payments

  1. Invoices are issued after services are delivered, as per agreed milestones or contracts
  2. Payment terms are defined in the signed agreement
  3. Late payments may result in service suspension or additional charges

 

6. Refund & Cancellation Policy

  1. Refunds are not applicable, as invoices are generated after services are rendered
  2. Clients may cancel services strictly in accordance with the terms outlined in their signed contract or agreement

 

7. Intellectual Property

  1. All pre-existing intellectual property remains the property of its respective owner
  2. Upon full payment, deliverables may be transferred as per agreement
  3. We retain the right to reuse general knowledge, frameworks, and non-confidential methods

 

8. Confidentiality

Both parties agree to maintain confidentiality of:

 

  1. Business information
  2. Trade secrets
  3. Project data

Confidentiality obligations survive termination of services.

 

9. Limitation of Liability

To the maximum extent permitted by law:

 

  1. Total liability is limited to the amount paid for the specific service
  2. Outzion is not liable for indirect, incidental, or consequential damages

 

10. Service Availability Disclaimer

We aim for high availability but do not guarantee:

 

  1. Compatibility with all systems or environments
  2. Uninterrupted or error-free services

11. Third-Party Tools & Integrations

Our services may integrate with third-party tools (e.g., Google Analytics, Jira, etc.). We are not responsible for third-party service interruptions or policies.

 

12. Termination

We reserve the right to suspend or terminate services if:

 

  1. Misuse or unlawful activity is detected
  2. Terms are violated
  3. Payments are not made
